1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Coach Ultra ("Company," "we," "us," or "our") governing your access to and use of the Coach Ultra mobile application and related services (collectively, the "Service").

By downloading, installing, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date and, for significant changes, by sending you a notification. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

2. Eligibility

To use Coach Ultra, you must:

• Be at least 13 years of age (or the minimum age required in your jurisdiction)
• If you are between 13 and 18 years of age, have parental or guardian consent to use the Service
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable laws

By using the Service, you represent and warrant that you meet all eligibility requirements. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Description of Service

Coach Ultra is a wellness and health coaching application that provides personalized insights and recommendations based on your biometric data, daily check-ins, and stated goals. The Service includes:

• Health Data Integration — Syncing with Apple Health (iOS) or Health Connect (Android) to collect sleep, heart rate, HRV, and other biometric data
• AI-Powered Insights — Personalized recommendations generated using artificial intelligence based on your health patterns
• Daily Check-ins — Self-reported mood, energy, and wellness surveys
• Progress Tracking — Historical trends and analytics of your wellness journey
• Coaching Content — Tips, guidance, and actionable recommendations

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

4.1 Not Medical Advice

Coach Ultra is a wellness application, not a medical device or healthcare provider. The Service is designed for general informational and educational purposes only and should not be considered medical advice, diagnosis, or treatment.

4.2 No Doctor-Patient Relationship

Use of the Service does not create a doctor-patient relationship, therapist-client relationship, or any other healthcare provider relationship between you and Coach Ultra or its affiliates.

4.3 Consult Healthcare Professionals

Always consult with a qualified healthcare provider before making any decisions about your health, diet, exercise regimen, or medical treatment. Never disregard professional medical advice or delay seeking it because of information provided by Coach Ultra.

4.4 Emergency Situations

Coach Ultra is not designed for emergency situations. If you are experiencing a medical emergency, call your local emergency services immediately (e.g., 911 in the United States). Do not rely on the Service for emergency medical needs.

4.5 Limitations of Biometric Data

Biometric data from wearable devices and health apps has inherent limitations and may not be accurate. The data we receive depends on the accuracy of your devices and health platforms. We do not guarantee the accuracy, completeness, or reliability of any health data or insights.

4.6 AI-Generated Content Limitations

Insights and recommendations generated by our AI are based on algorithms and patterns, not clinical expertise. AI-generated content:

• May contain errors or inaccuracies
• Is not a substitute for professional judgment
• Should be considered as one of many inputs in your wellness decisions
• May not account for your complete medical history or conditions

4.7 Assumption of Risk

By using the Service, you acknowledge and accept that you are solely responsible for your health decisions. You assume all risks associated with using the Service and implementing any recommendations or insights provided.

5. Account Registration and Security

5.1 Account Creation

To use certain features of the Service, you must create an account. You may register using your email address or through third-party authentication providers (Google, Apple). You agree to provide accurate, current, and complete information during registration.

5.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach

We are not liable for any loss or damage arising from your failure to protect your account credentials.

5.3 One Account Per Person

Each user may maintain only one account. You may not share your account with others or allow others to access the Service using your credentials.

6. Subscriptions and Payments

6.1 Free and Premium Tiers

Coach Ultra offers both free and premium subscription tiers. The free tier provides basic functionality, while premium subscriptions unlock additional features such as daily AI insights, advanced analytics, and priority support.

6.2 Subscription Terms

• Billing Cycle — Subscriptions are billed on a recurring basis (monthly or annually, as selected)
• Auto-Renewal — Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period
• Price Changes — We may change subscription prices with reasonable notice. Price changes will apply to subsequent billing cycles

6.3 Payment Processing

Payments are processed through Apple App Store (iOS) or Google Play Store (Android). All purchases are subject to the respective platform's terms and conditions. We use RevenueCat to manage subscriptions across platforms.

6.4 Refunds

Refund requests are handled according to Apple App Store or Google Play Store policies. We do not directly process refunds. To request a refund, please contact Apple or Google support through their respective platforms.

6.5 Cancellation

You may cancel your subscription at any time through your device's app store settings. Cancellation will take effect at the end of the current billing period. You will retain access to premium features until the end of your paid period.

7. User Conduct and Responsibilities

7.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to any part of the Service, other accounts, or systems
• Interfere with or disrupt the Service or servers/networks connected to it
• Transmit viruses, malware, or other malicious code
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated systems (bots, scrapers) to access the Service
• Impersonate any person or entity or misrepresent your affiliation
• Use the Service to collect data about other users
• Circumvent any access restrictions or usage limits

7.2 Accurate Information

You agree to provide accurate and truthful information in your profile, surveys, and any other data you submit. Providing false information may result in inaccurate insights and recommendations.

7.3 Health Data Permissions

You are responsible for granting and managing health data permissions on your device. We only access data you have explicitly authorized us to read.

8. User Content

8.1 Your Content

"User Content" includes any information, data, text, or other content you submit to the Service, including survey responses, notes, health considerations, and preferences.

8.2 License to User Content

By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and analyze your User Content solely for the purpose of providing and improving the Service. This license ends when you delete your account or the specific content.

8.3 Your Responsibilities

You are solely responsible for your User Content. You represent that you have all necessary rights to submit such content and that it does not violate any laws or third-party rights.

9. Intellectual Property

9.1 Our Intellectual Property

The Service, including all content, features, functionality, software, designs, text, graphics, logos, icons, images, audio, and video (collectively, "Materials"), is owned by Coach Ultra or its licensors and is protected by copyright, trademark, and other intellectual property laws.

9.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, subject to these Terms. This license does not include:

• The right to modify, copy, or distribute the Materials
• Commercial use of the Materials
• Reverse engineering or extraction of source code
• Removal of copyright or proprietary notices

9.3 Feedback

If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant us an unrestricted, perpetual, royalty-free license to use such Feedback for any purpose without compensation to you.

10. Third-Party Services and Links

10.1 Third-Party Integrations

The Service integrates with third-party platforms and services, including but not limited to:

• Apple Health and Health Connect (health data)
• OpenAI (AI processing)
• Google and Apple (authentication)
• Apple App Store and Google Play Store (distribution and payments)

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party services.

The Service may contain links to third-party websites or resources. We do not endorse and are not responsible for the content, products, or services available from third parties.

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Service, you consent to the collection and use of your information as described in the Privacy Policy, including the processing of sensitive health data and the use of AI for generating personalized insights.

You agree to indemnify, defend, and hold harmless Coach Ultra and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content
• Any health decisions you make based on the Service

15. Termination

15.1 Termination by You

You may terminate your account at any time by contacting us at [email protected] with the subject line "Account Deletion Request." Upon termination, your data will be deleted in accordance with our Privacy Policy.

15.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including if we reasonably believe you have violated these Terms.

15.3 Effect of Termination

Upon termination:

• Your license to use the Service immediately ends
• You must cease all use of the Service
• We may delete your account and data (subject to legal retention requirements)
• Sections of these Terms that should survive termination will remain in effect (including disclaimers, limitation of liability, and indemnification)

16. Dispute Resolution

16.1 Informal Resolution

Before filing any formal dispute, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days.

16.2 Arbitration Agreement

If we cannot resolve a dispute informally, you and Coach Ultra agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration, rather than in court, except that either party may bring claims in small claims court if eligible.

16.3 Class Action Waiver

YOU AND COACH ULTRA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

16.4 Opt-Out

You may opt out of the arbitration agreement by sending written notice to [email protected] within 30 days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration.

17. Governing Law

These Terms and any dispute arising out of or related to them or the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

For any disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

18. General Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Coach Ultra regarding the Service and supersede all prior agreements and understandings.

18.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

18.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

18.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, government actions, or internet or infrastructure failures.
